Where the Chemistry Happens…

The Mergers and Acquisitions (M&A) team is accountable for the identification, evaluation, and implementation of merger, acquisitions, and divestiture opportunities for the Catalyst Division.

The M&A Project Leader reports to the M&A Director, Catalyst and is part of Catalyst's Strategy, Planning, and New Business Development Group. The position is accountable to conduct activities to support implementation of global M&A opportunities for the Catalysts Division. This is accomplished by evaluating opportunities, conducting company searches, building a business case, performing appropriate due diligence, and making recommendations to senior management. A critical element of the position is project management skills since most M&A projects require significant internal alignment and support from multiple functions to conduct and report on due diligence of the target. The projects require interaction with senior management within BASF and with the negotiating targets.

Formula for Success: You Will…
- Lead projects for Catalysts that vary in scope from acquisitions, divestitures, and joint ventures to integration of acquired businesses. Projects are typically cross-regional and multi-functional. Interaction is required with BASF central functions and negotiating targets.
- Present project reports, expertise proposals, and position papers in a clear and concise manner.
- Conduct market screening and assessment of M&A opportunities in cooperation with Catalysts Strategy group and Global Business Units (GBUs).
- Develop and update profiles of potential M&A targets.
- Develop, challenge, and review business plans for M&A projects together with respective GBU and Controlling as a basis for valuations.
- Perform financial analyses as required to support decision-making by business leadership.
- Responsible for “concept approval” meeting with Division President and Group Vice Presidents, required to gain internal approval and alignment on initiating formal process.
- Liaise/interface with appropriate functions to ensure expert evaluation and analysis is conducted and applied to the due diligence process.
- Develop and implement negotiation strategies and will act as a member of the negotiation team.
- Prepare sale documentation in case of divestitures (e.g., information memorandum, management presentation, data room).

Qualifications - BASF recognizes institutions of Higher Education which are accredited by the Council for Higher Education Accreditation or equivalent

Ingredients for Success: What We Look for in You…
- Bachelor’s degree in a technical discipline (e.g, Science, Engineering) or Business Administration. An MBA or CPA qualification is desirable.
- At least 5 years of experience in any combination of the following disciplines: financial controlling, auditing, strategic development and planning, consulting, and/or mergers and acquisition.
- Demonstrated ability to develop strategic concepts, derived from multiple data analytics, and making appropriate business recommendations.
- Proficiency in utilizing appropriate project management techniques.
- Prior cross-functional experience and/or international experience is desirable.
- Superior communication, interpersonal, influencing, negotiations, report writing, and presentation skills, with the ability to work with consultants as well as to interact and influence senior managers and key decision makers.
